Contratos em investigação e desenvolvimento

Abstract

A universidade e a indústria sempre se encontraram ligadas pelas mais diversas relações, quer de carácter formal quer de carácter informal. Nas últimas décadas estas relações temse vindo a aprofundar, principalmente no campo da transferência de tecnologia e/ou conhecimento, ou na cooperação para Investigação e Desenvolvimento (I&D). Tentar perceber esta relação, as motivações e os problemas existentes tem sido objecto de análise em muitos dos estudos realizados na actualidade. Esta cooperação e/ou transferência de conhecimentos pode tomar diversas formas, e algumas delas são reguladas por um acordo formal, com uma definição rigorosa dos objectivos a atingir. Nesta tese, analiso os diferentes tipos de contrato e/ou parcerias que têm sido estabelecidos entre a Universidade de Aveiro e várias empresas que com ela se tem relacionado desde 1990. O meu objectivo é perceber as razões que determinam a escolha, pelas duas partes, de uma relação contratual ou de uma relação de parceria. Identifico os diferentes tipos de problemas que podem surgir nestas relações de I&D, e as várias formas como estes poderão ser prevenidos ou minimizados. Identifico, em particular, os tipos de comportamento oportunista que podem ocorrer na relação, que podem ser particularmente sérios quando estão envolvidos investimentos em activos específicos; e os tipos de problemas que podem surgir na gestão da propriedade intelectual. A principal conclusão desta tese é que os contratos estabelecidos entre a Universidade de Aveiro e as empresas são manifestamente incompletos, já que em alguns não é sequer apresentado o custo da relação ou a duração da mesma.

ABSTRACT: There have been always relationships, of different kinds, between universities and the industry, both formal and informal. In the past few decades, these relationships have become quite common, mainly those involving technology transfer and research joint ventures. To try to understand the nature of these relationships, their rationale and the different problems that might arise, has been the subject of many recent studies. Research joint ventures and technology transfers can take many forms. Some of them are regulated by a formal agreement between the two parties, where the goals to be achieved are specified as rigorously as possible. In this thesis, I analyse the different types of contracts and/or partnerships that been established between the Universidade de Aveiro and several firms, since 1990. My goal is to understand the reasons that justify the choice, by the two parties, between a contract and a partnership. I identify the different types of problems that can arise in these I&D relationships, and the different ways that can be used to prevent, or to minimize, their occurrence. In particular, I identify the type of opportunistic behaviour that can occur within the relationship, which can be particularly serious when relationspecific investments are involved, and the type of problems involving the management of industrial property. The principal conclusion of my thesis is that the contracts that have been established between Universidade de Aveiro e several firms are very incomplete, some of them don’t even specify the cost or the duration of the relationship.
