Abstract: | A crescente globalização e integração, tem fomentado a concorrência tanto a nível nacional como internacional. Os executivos acreditam que devem comprar os seus rivais, ou arriscam-se a serem comprados à medida que as suas indústrias se vão consolidando. A sobreavaliação das suas crenças no sucesso dos seus investimentos, leva em cada dois casos ao insucesso da integração das fusões e aquisições, e por vezes, também consequência de rumores e especulações. O seguinte trabalho analisa os diversos tipos de fusões e aquisições, e os motivos inerentes aos crescimentos externos. Assim como os processos e níveis de integração adequados para uma integração bem sucedida. Efectuando-se uma aplicação ao caso do grupo francês Autajon, na sua última compra, em Outubro de 2007, da empresa espanhola Durero Packaging, S.A.. Ambas as empresas proporcionam um serviço de Packaging aos seus clientes, representando por isso uma F&A do tipo horizontal, com objectivo principal de tomar a liderança no sector. Finalmente é feita uma avaliação hipotética da performance através das alterações nas vendas e lucros, que poderá ter como consequência, o aumento da eficiência e de poder de mercado, ou da diminuição das mesmas. ABSTRACT: Increasing globalization and integration have fostered competition, both nationally and internationally. Executives believe they must buy their rivals, or they risk being bought when their industries are being consolidated. The overestimation of their belief in their investments success, leads in each two cases to the failure of the integration of mergers and acquisitions, currently as the result of rumours and speculation. The following work analyses the different types of mergers and acquisitions, and the reasons for external growth; as well as adjusted processes and integration levels for well succeeded integration. Those subjects will be applied to the case of the French group Autajon for its last purchase, on October 2007, of the Spanish company, Durero Packaging SA. Both companies provide a Packaging service to its customers, thus represent a horizontal M&A, with the main objective of being the leader in the sector. Finally, an assessment is made of a hypothetical performance through changes in sales and profits that can lead to increased efficiencies and market power, or to the decrease of those. |
